Beta Terms of Use

The binding Beta Terms of Use governing access to and use of the Tripivor private, invitation-only beta.

IMPORTANT: These Beta Terms of Use form a binding agreement governing access to and use of the Tripivor private beta. Please read them carefully before creating an account or using the Service. Nothing in these Terms excludes or restricts any right or remedy that cannot lawfully be excluded or restricted under applicable consumer law.

1. Parties, Scope And Acceptance

These Beta Terms of Use (the “Terms”) govern access to and use of the website located at tripivor.com, the Tripivor AI travel companion, itinerary builder, account area and related beta functionality (collectively, the “Service”).

The Service is presently a pre-incorporation project operated jointly by Duru Naz Akkaya and Yigit Efe Karabulut, based in Milan, Italy (together, “Tripivor”, “we”, “us” or “our”). You may contact us at info@tripivor.com.

By creating an account, accepting these Terms through the registration interface, or otherwise accessing or using the Service, you confirm that you have read and understood these Terms and agree to be bound by them. If you do not agree, you must not access or use the Service.

The Service is intended solely for natural persons acting for purposes outside their trade, business, craft or profession. It is not presently offered as a business travel or enterprise service.

2. Beta Status And Purpose

Tripivor is currently offered as a private, invitation-only, pre-commercial beta. The beta is intended to test the usefulness, usability, technical performance and recommendation quality of the Service and to collect feedback for product development and validation.

Participation in the beta is currently free of charge. Tripivor does not presently charge subscription fees, booking fees, service fees or commissions to beta participants. The fact that the beta is free does not affect any mandatory rights that may apply to the supply of a digital service under applicable law.

The Service is under active development. Features may be incomplete, experimental, modified, replaced, suspended or removed during the beta. We may impose reasonable usage limits or temporarily restrict access where necessary for security, maintenance, testing, abuse prevention or product development.

Participation in the beta does not guarantee access to any future commercial version of Tripivor, any particular future feature, or any particular pricing or commercial model.

3. Eligibility And Private Access

You must be at least 18 years old to create an account or participate in the beta. By accepting these Terms, you represent that you are at least 18 years old and have legal capacity to enter into this agreement.

Access may be limited to invited users and supported territories. An invitation is personal unless Tripivor expressly permits it to be shared. We may decline, suspend or withdraw beta access where reasonably necessary to administer the private test or comply with law.

4. Description Of The Service

Tripivor is an AI travel companion and itinerary-planning service. Based on information supplied by you, the Service may generate or display personalized travel ideas and planning information, including suggested itineraries, destinations, flights, accommodation, activities, restaurants, local transportation, maps, estimated budgets, written guide content and audio guide content.

Personalization may take into account information such as your departure point, destination, travel dates, approximate budget, age range, group size, interests, travel style, dietary preferences, accessibility preferences and previous interactions with the Service.

Tripivor provides planning, discovery and recommendation functionality. Except where we expressly state otherwise in a future version of the Service, Tripivor does not itself provide accommodation, air transport, ground transport, attractions, tours, restaurant services, insurance or other travel services.

5. No Travel Booking By Tripivor

During the beta, Tripivor does not sell, issue, fulfil, confirm or take payment for travel reservations. The Service may present travel options and provide links or redirections to independent third-party websites, applications or providers, which may include, by way of example, Booking.com, Skyscanner, Hotels.com, Uber, airlines, accommodation providers, activity providers and transportation providers.

A recommendation, itinerary item, displayed price, outbound link or booking button on Tripivor does not itself create a reservation or contract for the relevant travel service. If you choose to proceed, you complete the relevant transaction directly with the independent third-party provider.

Tripivor does not currently collect your payment-card details for third-party travel services, receive the purchase price for those services, issue the provider’s booking confirmation, or hold customer funds on behalf of travel providers.

6. Third-Party Travel Contracts

Any reservation or purchase that you make after leaving Tripivor is governed by the terms, policies and conditions of the relevant third-party provider. Your contract for that travel service is with that provider, not with Tripivor, unless the interface expressly and unambiguously states otherwise.

The relevant third party is responsible for matters including payment processing, confirmation, fulfilment, cancellations, refunds, changes, chargebacks, customer support and complaints concerning the purchased travel service.

Before purchasing a third-party service, you should review the provider’s price, cancellation conditions, refund rules, eligibility requirements, privacy information and other applicable terms.

7. No Package Or Inclusive Trip Sold By Tripivor

Tripivor may place multiple recommendations into a single itinerary and may display an estimated trip budget for planning convenience. Such presentation does not mean that Tripivor is selling the displayed services together, charging an inclusive price, or entering into a single contract covering those services.

Unless expressly stated otherwise, each recommended travel service remains independently selected and purchased by you from the relevant third-party provider. An estimated total displayed by Tripivor is informational only, may be calculated from multiple independent sources, may change at any time and is not an offer by Tripivor to supply a package for that amount.

The beta is intentionally designed so that Tripivor does not transmit your payment-card information or passport information between travel providers and does not complete sequential third-party bookings on your behalf.

8. No Post-Booking Travel Support

Tripivor does not presently provide post-booking support for third-party travel services. Issues concerning cancellations, refunds, amendments, delayed or cancelled transportation, baggage, overbooking, accommodation disputes, provider insolvency, service quality or other booking-related matters must be addressed to the provider with whom you completed the transaction.

Tripivor is not an emergency, consular, medical, security or crisis-response service. In an emergency, contact the appropriate local emergency service, competent public authority, embassy or consulate, travel provider, insurer or qualified professional.

9. Artificial Intelligence

Tripivor uses artificial intelligence and related automated technologies to generate, organize, summarize, personalize and present travel-planning information. You are interacting with an AI system, not a human travel agent.

AI-generated content can contain errors, omissions, inconsistencies, outdated information or fabricated details. AI output is probabilistic and should not be treated as a guarantee that any fact, recommendation, price, schedule, opening hour, route, availability or third-party description is correct.

You remain responsible for evaluating whether a recommendation is suitable for your circumstances and for verifying material information before relying on it or purchasing a travel service.

10. Information That Must Be Independently Verified

You must not rely exclusively on Tripivor for information that could materially affect your legal status, health, safety or ability to travel. In particular, verify the following with the relevant official authority or provider before acting:

• passport validity, visa and immigration requirements; • border, customs and entry rules; • vaccination, health and medical requirements; • government travel advisories and local safety conditions; • local laws and regulations; • transport schedules, connections and check-in requirements; • accessibility and mobility arrangements; • allergy or dietary accommodation; • opening hours, admission conditions and reservation requirements; and • prices, taxes, fees, availability, cancellation conditions and refund rules.

11. Prices, Availability And Third-Party Information

Prices, ratings, availability, schedules, images, descriptions, maps and other third-party information displayed or referenced by the Service may originate from third-party sources or automated processing. Such information can change without notice and may differ from the information ultimately presented by the provider.

The final price, availability and contractual terms shown by the provider at the time you complete a transaction govern that transaction. Tripivor does not guarantee that a displayed or estimated price will remain available.

12. Accounts And Authentication

The beta may permit account creation using email and password and/or Google Sign-In. You must provide accurate information where requested and must not create an account using another person’s identity without authorization.

You are responsible for taking reasonable steps to keep your login credentials secure. You must notify us promptly at info@tripivor.com if you reasonably believe that your account has been compromised or accessed without authorization.

You may not sell, transfer or commercially exploit access to a beta account.

13. User Inputs, Saved Itineraries And Chat History

You may submit prompts, preferences, feedback and other information to the Service (“User Inputs”). You retain any rights that you have in your original User Inputs. You grant Tripivor a non-exclusive right to host, reproduce, process and use User Inputs to the extent reasonably necessary to provide, secure, troubleshoot and improve the beta in accordance with these Terms and our Privacy Notice.

The Service may save chat history and itineraries to your account so that you can access and revise them later. Personal data contained in User Inputs is handled in accordance with the Tripivor Privacy Notice.

You must not submit content that is unlawful, infringes another person’s rights, contains malware, or is submitted for the purpose of abusing, attacking or manipulating the Service.

14. Sensitive And Unnecessary Personal Information

Tripivor is not designed to receive passport numbers, passport images, national identification numbers, payment-card numbers, banking credentials, medical records, detailed diagnoses, biometric data or other highly sensitive information that is unnecessary for ordinary itinerary planning. You must not enter such information into the AI chat or other free-text fields unless Tripivor expressly introduces a feature that specifically requests it and provides appropriate information and safeguards.

Where the Service permits you to provide dietary or accessibility preferences, provide only the minimum information reasonably necessary for itinerary personalization. Tripivor cannot guarantee that a third-party venue or provider can safely accommodate an allergy, medical condition, disability or accessibility requirement. Confirm material requirements directly with the provider.

15. Privacy And Cookies

Our processing of personal data is described in the Tripivor Privacy Notice, available through the Service. Use of cookies and similar technologies is described in the Tripivor Cookie Policy. Those documents form part of the information made available to you in connection with the Service.

Where applicable law requires consent for optional analytics or similar technologies, Tripivor will request that choice separately from acceptance of these Terms. Refusing optional analytics consent does not by itself prevent ordinary use of the beta.

16. Feedback And Beta Research

We may invite you to provide ratings, survey responses, feature requests, comments or other feedback about the beta (“Feedback”). Unless a particular test expressly states otherwise, providing Feedback is voluntary.

You permit Tripivor to use Feedback for product research, development, evaluation, internal analysis and business planning. We may use aggregated or anonymized beta findings in discussions or materials relating to the development or financing of Tripivor.

Tripivor will not publicly attribute an identifiable testimonial or quotation to you merely because you submitted Feedback. Where we wish to use your name, image, username or identifiable testimonial in marketing or investor materials, we will obtain separate permission where required.

17. Third-Party Services, Maps, Content And Links

The Service may integrate, reference or link to independent third-party services and content. Third-party services are not controlled by Tripivor and may be subject to separate terms, privacy policies, licences and availability conditions.

Tripivor may use third-party mapping, AI, authentication, audio, hosting or data services to provide functionality. The presence of a third-party name, logo, link or recommendation does not by itself mean that the third party

sponsors, endorses or is legally responsible for Tripivor.

You must comply with the applicable terms of any third-party service that you independently choose to use.

18. Intellectual Property

As between you and Tripivor, and subject to third-party rights, Tripivor and its licensors retain all rights, title and interest in the Service, including its software, interface, branding, design, original text, original audio, proprietary workflows and other protectable materials.

Subject to these Terms, Tripivor grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the beta for your own non-commercial travel-planning purposes.

You may not copy, reproduce, sell, license, distribute, reverse engineer, circumvent technical protections, systematically extract, or commercially exploit the Service except to the extent such restriction is prohibited by mandatory law or Tripivor has given prior written permission.

19. Acceptable Use

You must not use the Service to:

• violate applicable law or the rights of another person; • impersonate another person or misrepresent your identity; • facilitate fraud, deception or unlawful activity; • probe, scan or test vulnerabilities without authorization; • gain unauthorized access to accounts, systems or data; • introduce malware, malicious code or harmful automated traffic; • circumvent access, rate, security or beta controls; • systematically scrape or extract the Service in a manner that materially interferes with its operation; or • use the Service in a manner that is reasonably likely to damage, disable or overload Tripivor infrastructure.

20. Service Changes, Updates And Availability

Because the Service is a beta, we may modify its functionality, interface, integrations, technical requirements or content. Where mandatory consumer law requires notice or imposes conditions on a modification of a digital service, those mandatory requirements prevail over these Terms.

We do not promise uninterrupted or error-free availability. Planned or emergency maintenance, provider outages, security events, technical failures or product changes may temporarily affect access.

21. Suspension And Termination

We may suspend or terminate access where reasonably necessary because of a material breach of these Terms, unlawful or abusive conduct, security risk, unauthorized access, legal requirement, discontinuation of the beta or other legitimate beta-administration reason.

Where reasonable in the circumstances, we will provide notice of a suspension or termination. Immediate action may be taken where necessary to protect users, systems, third parties or legal compliance.

You may stop using the Service at any time and may use the available account-deletion functionality. Privacy consequences of account deletion are described in the Privacy Notice.

22. Disclaimers Appropriate To The Beta

Tripivor will use reasonable care in operating its own Service. However, the beta is experimental and recommendations are generated using automated systems and third-party information. Subject always to rights and guarantees that cannot lawfully be excluded, Tripivor does not warrant that every recommendation, itinerary, third-party description, estimate or AI output will be accurate, complete, current or suitable for every user.

Nothing in these Terms is intended to disclaim a statutory conformity obligation or other mandatory consumer right that applies to the digital Service.

23. Responsibility For Third-Party Travel Services

Tripivor is not responsible for performing a travel service that you independently purchase from a third-party provider. Subject to mandatory law, Tripivor is not liable merely because an independent provider changes, cancels, delays, refuses, misdescribes or fails to perform a service that you contracted to purchase from that provider.

This clause does not exclude responsibility for Tripivor’s own acts or omissions where applicable law makes Tripivor responsible.

24. Limitation Of Liability

Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, wilful misconduct, gross negligence where liability cannot lawfully be limited, death or personal injury caused by negligence where such limitation is prohibited, or any other liability that cannot lawfully be excluded or limited.

To the maximum extent permitted by applicable law, Tripivor is not liable for indirect or consequential losses arising solely from your independent transaction with, or the failure of, a third-party travel provider, where such loss was not caused by Tripivor and was not reasonably foreseeable as a consequence of Tripivor’s breach.

Any limitation in these Terms is subject to mandatory consumer protections applicable to you. If mandatory law grants you a more favourable remedy, that remedy prevails.

25. Indemnity For Unlawful Misuse

To the extent permitted by applicable law, if you use the Service in a deliberate and unlawful manner that causes a third-party claim against Tripivor, you are responsible for losses reasonably resulting from that unlawful misuse. This clause does not require a consumer to indemnify Tripivor for Tripivor’s own breach, negligence or legal responsibility.

26. Communications

We may send service-related communications to the email address associated with your account, including security notices, material beta changes, account notices and legally required communications. These operational messages are not marketing communications.

Tripivor does not presently require beta participants to subscribe to a marketing newsletter as a condition of using the Service.

27. Changes To These Terms

We may revise these Terms to reflect changes to the beta, applicable law, security requirements, technical functionality or our operating model. The current version and effective date will be made available through the Service.

Where a change materially affects your rights or obligations, we will provide reasonable notice through the Service, by email or by another appropriate means where required. If applicable law requires your renewed

agreement to a change, we will request it.

28. Governing Law And Mandatory Consumer Rights

These Terms are governed by the laws of Italy, without prejudice to any mandatory consumer-protection provisions that apply to you under the law of your country of habitual residence and that cannot be contractually excluded.

Nothing in these Terms deprives an EU or EEA consumer of mandatory protections that would apply irrespective of a contractual choice of Italian law.

29. Disputes And Competent Courts

We encourage you to contact us first at info@tripivor.com so that we can attempt to resolve any concern informally.

Any dispute will be subject to the jurisdiction determined by applicable mandatory law. Where you are a consumer, nothing in these Terms requires you to bring proceedings exclusively in Milan if mandatory consumer jurisdiction rules entitle you to bring proceedings before another competent court, including a court in your place of domicile where applicable.

30. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary where legally possible, and the remaining provisions will continue in effect. Mandatory law prevails over any inconsistent contractual provision.

31. No Waiver

If Tripivor does not immediately enforce a provision of these Terms, that does not constitute a waiver of the provision or of the right to enforce it later.

32. Transfer

You may not transfer your rights under these Terms to another person without our consent, except where mandatory law permits otherwise. Tripivor may transfer the operation of the Service and these Terms to a future Tripivor legal entity or successor as part of incorporation, restructuring or transfer of the project, provided that doing so does not reduce mandatory rights applicable to you and any required privacy information is provided.

33. Entire Agreement And Related Policies

These Terms, together with the Privacy Notice and any additional terms expressly presented for a specific optional feature, constitute the contractual framework governing your use of the beta. The Cookie Policy provides additional information concerning cookies and similar technologies.

If a specific optional feature is governed by additional terms and there is a conflict, the additional terms govern that feature to the extent of the conflict, subject to mandatory law.

34. Language

Tripivor may make these Terms available in multiple languages. Where required by applicable law, the version presented to you in the language of the Service will apply as required by that law. If translations differ because of a translation error, the versions should be interpreted, as far as legally possible, to give effect to the same substantive rights and obligations and without reducing mandatory consumer rights.
